Publisher Guidelines

These Publisher Guidelines are issued by Omnidex Technologies LTD and form an integral part of the binding agreement between the Parties, as defined in the Terms & Conditions of Omnidex Technologies LTD (the “Agreement”). These Publisher Guidelines apply to all Publishers engaged with Omnidex under a valid Order Form and govern the requirements, restrictions, and operational standards applicable to the Publisher’s participation in the Omnidex Platform.

These Publisher Guidelines are incorporated by reference into the Agreement and are legally binding on the Publisher. Capitalized terms used but not defined herein shall have the meanings assigned to them in the Terms & Conditions.

Omnidex reserves the right to amend these Guidelines from time to time in accordance with the Terms & Conditions available at: https://www.omni-dex.io/publisherterms/terms-and-conditions. Any updates will be published at https://www.omni-dex.io/publisherterms/publisher-guidelines, and continued use of the Services shall constitute acceptance of the revised Guidelines.

1. General

The Publisher shall: (a) where the Publisher is not the direct owner of the Publisher Property, monitor its network for compliance with these Publisher Guidelines; and (b) uphold applicable self-regulatory industry standards, including those of the Network Advertising Initiative (NAI), the Digital Advertising Alliance (https://digitaladvertisingalliance.org/principles), and any additional guidelines that may be introduced from time to time by Omnidex or its advertising partners.

2. Data Usage

Unless explicitly permitted by the Agreement, the Publisher (a) must not, directly or indirectly, transmit any sensitive or personal user data to Omnidex; and (b) may only use any reporting, statistics, or information derived from the Services (excluding bid request data) for purposes directly connected to its use of the Services and shall not export or repurpose such data.

3. Children and Adult Ads

3.1. The Publisher shall not operate or target Publisher Properties to End Users who are under the age of digital consent as defined by applicable data protection or advertising laws in the relevant jurisdiction.

3.2. The Publisher shall not transfer to Omnidex, its Affiliates or its advertisers, any personal information or personal data of individuals who are under the minimum age of digital consent applicable in the relevant jurisdiction.

3.3. Additionally, to the extent the Publisher wishes to display Ads for alcoholic beverages, tobacco, gambling, sports betting, or other adult-directed products or services, the Publisher represents and warrants that such Ads shall only be presented in territories where it is legal to do so. Without derogating from the generality of the foregoing, where it is legal to display such Ads: (a) such Ads shall only appear where the target audience of the Publisher Property meets the minimum legal age and any other applicable requirements under relevant laws and regulations (including applicable self-regulatory codes); and (b) under no circumstances shall such Publisher Property or pages be directed to, or primarily appeal to, End Users who are under the minimum legal age required in the applicable jurisdiction for viewing or engaging with such content.

3.4. The Publisher must implement age-screening measures to restrict access to pages displaying restricted Ads from End Users who self-identify as being under the applicable minimum age.

3.5. If applicable law imposes stricter obligations than those set out above, the Publisher shall comply with such stricter requirements.

4. Prohibited Content

4.1. Publisher Property and their underlying code must (a) be content- or utility-driven and provide genuine value to their End Users; (b) be fully functional and not rely on pop-ups, pop-unders, or similar disruptive mechanisms; and (c) not contain or promote any content that is illegal, harmful, misleading, offensive, or otherwise objectionable. This includes, without limitation, content that is fraudulent, libelous, pornographic, profane, hateful, violent, discriminatory, promoting narcotics or banned substances, or reasonably considered misleading or misrepresentative. References to weapons are prohibited except where presented in a clearly fictional, artistic, or entertainment-based context (e.g., video games, movie content). Publisher Property must not include or facilitate the distribution of malware, spyware, adware, viruses, or any other malicious code that may compromise user privacy or system security. Additionally, they must not be primarily designed to collect personally identifiable information from End Users.

4.2. Publisher Property may include User-Generated Content, provided that the Publisher maintains appropriate moderation, legal rights, and authorization to commercialize and monetize such content through the Omnidex Platform. The Publisher represents and warrants that any UGC displayed on the Publisher Property is obtained and handled in accordance with applicable laws, includes necessary End User rights and consents, and does not contain content that would otherwise violate these Publisher Guidelines. Omnidex reserves the right to restrict or disable advertising on UGC sections that it, in its reasonable discretion, deems to pose reputational, legal, or brand safety risks.

5. Prohibited Activities

The Publisher shall not, directly or indirectly, engage in any of the following prohibited activities:

5.1. With respect to the Services, the Publisher shall not, and shall not attempt to: (a) copy, reverse engineer, decipher, decompile, translate, disassemble, or otherwise interfere with any part of the Services, Ads, tags, or any software, platforms, APIs, or components provided by or on behalf of Omnidex; (b) alter, disable, conceal, remove, or otherwise impair any tracking technologies, pixels, modules, source code, or similar elements used to measure ad performance or deliver the Services; (c) reproduce, sublicense, resell, lease, rent, or transfer the Services, Ads, or tags (or any derivatives or copies thereof), including, without limitation, bidding for Ads or tags while simultaneously reselling them through another Platform or exchange, unless expressly permitted under a white-label arrangement; or (d) use, display, syndicate, sublicense, or deliver Ads outside the approved Publisher Properties or without Omnidex’s prior written consent.

5.2. With respect to traffic generation, quality, and source transparency, the Publisher shall not, whether directly or indirectly: (a) generate or permit the generation of any non-human, fraudulent, incentivized, or otherwise invalid traffic, including but not limited to views, impressions, clicks, or other interactions that result from bots, automated systems, or deceptive practices; (b) use or permit the use of referring URLs, domains, or root URLs that have not been disclosed to and approved by Omnidex; (c) interfere with or attempt to disrupt the proper operation of the Services, including obstructing or manipulating the rendering or measurement of Ads; or (d) interfere with any third-party properties linked to from Ads, or otherwise hinder the full, immediate, and direct display or functionality of any Ad or destination page.

5.3. The Publisher shall not intentionally place, or cause to be placed, Ads on blank pages, pages lacking meaningful content, or in a layout that misleads End Users. This includes, without limitation, stacking multiple Ads (e.g., placing Ads on top of each other or presenting more than two Ads in the same view), or configuring placements in a deceptive, non-standard, or user-confusing manner.

5.4. The Publisher shall not place, or cause to be placed, Ads on any websites, applications, or media that have not been expressly approved by Omnidex. Ads intended for use on specific Publisher Properties under the Agreement may not be embedded in emails or deployed across other domains, apps, or properties not designated in advance by Omnidex.

5.5. The Publisher shall not alter, copy, modify, reuse, resell, or distribute any Ad creatives provided by Omnidex, nor transmit such Ads to destinations outside the approved Publisher Properties under the Agreement.

5.6. The Publisher shall not employ methods intended to artificially increase user interaction with Ads or Publisher Property. Prohibited methods include, but are not limited to: sending unsolicited emails or messages; using inappropriate newsgroup postings; automatically refreshing pages or spawning browsers to serve Ads; redirecting users without consent; using blind or misleading links; incentivizing or forcing clicks (such as hijacked browser behavior or creatives designed to be unclosable without clicking); or any other practices that result in inflated impressions, clicks, or engagements.

6. Remedies

The Publisher acknowledges and agrees that any breach of these Publisher Guidelines may result in immediate, extraordinary, and irreparable harm to Omnidex, its Affiliates and its relationships with Advertisers and other stakeholders, for which monetary damages may be inadequate or difficult to ascertain. Accordingly, Omnidex shall be entitled to seek injunctive or equitable relief without the requirement to post a bond, in addition to any other legal or contractual remedies available under the Agreement.

Omnidex may, in its sole discretion and upon reasonable belief that a breach has occurred, suspend any active ad campaigns without liability to the Publisher until such breach is cured or resolved. Omnidex shall make commercially reasonable efforts to notify the Publisher in advance of such suspension or, if not practicable, as soon thereafter as reasonably possible.
